Welcome to Yogshri Wellness (collectively referred to as “Yogshri”, “Company”, “We”, “Us”, or “Our”). These Terms & Conditions (“Terms” or “Agreement”) govern your access to and use of our website (www.yogshri.com), mobile applications, and online yoga, meditation, and wellness services (collectively, the “Platform” or “Services”).

Please read these Terms carefully before using our Platform. By accessing or using Yogshri, you agree to be legally bound by these Terms and our Payment & Refund Policy. If you do not agree to these Terms, please do not use the Platform.

1. Eligibility & Account Registration

You must be at least 18 years of age (or the legal age of majority in your jurisdiction) to create an account and purchase subscriptions or services.
If services are accessed by a minor, a parent or legal guardian must register the account on their behalf and assume full legal responsibility.
You agree to provide accurate, current, and complete registration information and to keep your account credentials confidential and secure.

2. Nature of Services

Yogshri provides live, instructor-led online yoga, meditation, and wellness sessions for educational, informational, and general well-being purposes only. Services are delivered online in real-time by certified instructors.

No Medical Advice: Yogshri does not provide medical advice, clinical diagnosis, therapy, or medical treatment of any kind. Platform content and live instruction should never be used as a substitute for professional medical advice, diagnosis, or healthcare.

3. No Guarantees or Outcomes

You acknowledge and agree that health, physical, and emotional results vary from person to person depending on individual health status, consistency, and personal effort.

Yogshri does not promise, warrant, or guarantee specific physical, mental, emotional, or therapeutic outcomes.
No specific medical, health, or personal results are promised or implied by participating in our live classes or programs.
Participation in any session is entirely voluntary and undertaken at your own discretion.

4. Assumption of Risk

Yoga, physical movement, and breathwork involve inherent physical risks, including but not limited to physical strain, fatigue, discomfort, or injury.

By participating in Yogshri sessions, you confirm that you are physically fit and capable of engaging in exercise.
You agree to consult a qualified physician or healthcare professional prior to starting any practice if you have pre-existing medical conditions, injuries, or health concerns.
You assume full personal responsibility and risk for your voluntary participation in all activities offered through the Platform.
discontinue participation immediately if pain, dizziness, chest discomfort, shortness of breath, or any unusual symptoms occur.

5. Free Trial

Yogshri may offer a free trial that lets new users experience live classes before purchasing a subscription. The availability, duration, and inclusions of any trial are shown at signup and may change at our discretion.

Free trials are intended for new users only and are limited to one trial per person unless otherwise stated.
We reserve the right to modify, suspend, or withdraw the free trial offer at any time, and to disqualify any user from a trial in cases of misuse or violation of these Terms.

6. Referral Program

Yogshri offers a referral program that rewards existing members for introducing new users to the Platform. The following terms apply in addition to these Terms:

Eligibility: The referral program is open to registered Yogshri users with an active account. Referred users must be new to Yogshri and must sign up using a valid referral link.
Qualifying Action & Rewards: Referral rewards are earned only when the referred user completes the qualifying action stated in the offer (for example, starting their first paid subscription). Rewards are credited 30 days after successful verification of the qualifying action.
No Cash Value: Referral rewards have no cash value and cannot be transferred, exchanged for cash, or combined with other offers unless explicitly stated.
Fraud & Abuse: Self-referrals, fake accounts, or any fraudulent activity may result in reversal of rewards, suspension or termination of your account, and disqualification from the program.
Cancellations & Refunds: If a referred user cancels or receives a refund, Yogshri reserves the right to revoke the corresponding referral reward.
Program Changes: Yogshri may modify, pause, or terminate the referral program, its qualifying actions, or its rewards at any time. All decisions regarding reward eligibility are at Yogshri’s sole discretion and are final.

7. Subscriptions, Payments & Auto-Renewal

Subscription Plans: Yogshri offers recurring subscription plans (e.g., Monthly, 3-Month, 12-Month) and class pass packages.
Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle unless cancelled prior to the renewal date.
Billing: Payments are processed securely via third-party payment gateways. Prices include applicable taxes unless specified otherwise.
Price Adjustments: Subscription rates and renewal prices are subject to change. Any price modifications will apply to subsequent renewal cycles, and we will provide prior notification where required or platform policies.

8. Cancellations & Refunds

Cancellations, refund eligibility, administrative fees, class rescheduling, and package expiry rules are strictly governed by our Payment & Refund Policy, which is incorporated into these Terms by reference.

9. Live Classes & Attendance Policy

Live Sessions Only: All Yogshri sessions are conducted 100% live in real-time with expert instructors. Yogshri does not provide or store recorded class sessions.
Group Class Flexibility: If you miss or skip a scheduled group class, you are welcome to attend any other available group class batch on the same calendar day.
Recording Prohibited: Unauthorized recording, screen-capturing, downloading, broadcasting, or sharing of live class streams by participants is strictly prohibited to maintain privacy and security.
Quality & Safety Monitoring: Any session recording conducted by instructors or Yogshri for quality assurance, safety, or training purposes will occur only where prior disclosure is provided and where legally permitted.

10. Code of Conduct & Platform Use

While using our Platform and live sessions, you agree not to:

Engage in disruptive, abusive, harassing, or inappropriate behavior toward instructors or fellow participants.
Use automated scrapers, bots, or unauthorized tools to extract data or access the Platform.
Infringe upon the intellectual property rights, trademarks, or proprietary content owned by Yogshri or its licensors.
Attempt to reverse engineer, decompile, or compromise the security of the Platform infrastructure.

11. Intellectual Property Rights & Platform License

All content on the Platform—including video streams, trademarks, logos, texts, graphics, software, and instructional materials—is the exclusive property of Yogshri or its content licensors. You are granted a limited, non-exclusive, non-transferable license to access and view content strictly for personal, non-commercial use.

12. Copyright & Intellectual Property Infringement Claims

Yogshri respects the intellectual property rights of others and asks users to do the same. If you believe your work has been copied or used on the Platform in a way that constitutes infringement, please email us at support@yogshri.com with:

Confirmation that you are the owner of, or authorized to act on behalf of the owner of, the intellectual property.
A description of the copyrighted work or intellectual property you believe has been infringed.
A description and location (URL) of the allegedly infringing material on the Platform.
A good-faith statement that the disputed use is not authorized by the rights owner, its agent, or the law, together with your contact information.

We will make reasonable efforts to investigate notices of alleged infringement and take appropriate action, which may include removing or disabling access to the material in question.

13. User Submissions & Feedback

If you submit or transmit any information, reviews, testimonials, or other material through the Platform, you confirm that you own it or have the right to share it, and that it does not infringe any third-party rights.
By submitting suggestions, ideas, or feedback about the Platform or Services, you agree that we may use such feedback for any purpose (including improving our Services) without restriction or compensation to you, and we are under no obligation to keep it confidential.
We reserve the right to moderate, edit, or remove any user-submitted material at our sole discretion, including material that violates these Terms or applicable law.

14. Privacy & Data Use

By using the Platform, you acknowledge that Yogshri collects and processes certain personal information (such as your name, email address, phone number, and payment details) to provide and improve our Services. Your data is handled in accordance with our Privacy Policy.

We do not sell your personal information to third parties.
We may share limited data with service providers (e.g., payment processors, communication platforms) solely for the purpose of delivering our Services.
We may disclose information where required by law or to protect our legal rights.

15. Communication Consent & Alerts

By creating an account on Yogshri, you consent to receive the following communications via email, SMS, WhatsApp, or push notifications:

Service Communications: Class reminders, schedule changes, booking confirmations, and account updates.
Promotional Communications: Special offers, new programs, and wellness content.
Feedback Requests: Post-class surveys, satisfaction queries, and improvement suggestions.

You may opt out of promotional communications at any time by updating your notification preferences or contacting our support team.

Delivery Disclaimer: While we make reasonable efforts to send reminders and alerts in a timely and accurate manner, delivery may be delayed or prevented by factors outside our control. We do not guarantee the delivery or accuracy of any alert and are not liable for actions taken or not taken in reliance on an alert.

16. Third-Party Services & Integrations

Yogshri may use third-party platforms and tools (including video conferencing services, payment gateways, analytics providers, and cloud hosting) to deliver and support our Services.

Yogshri is not responsible for the availability, performance, security, or policies of any third-party service provider.
Your use of third-party services may be subject to those providers’ own terms and privacy policies.
Any transactions or interactions with third-party providers are at your own risk.

17. Account Suspension & Termination

Yogshri reserves the right to suspend or terminate your account at any time, with or without notice, for violation of these Terms, abusive or disruptive conduct during live sessions, fraudulent activity, or any other reason at the sole discretion of the Company.
Upon termination, your right to access the Platform and all associated Services ceases immediately.
No refund will be issued for any unused portion of a subscription or class package in the event of termination for cause.
You may request voluntary account deletion at any time by contacting our support team.
All provisions of these Terms which by their nature should survive termination shall survive, including without limitation intellectual property provisions, warranty disclaimers, indemnification, and limitations of liability.

18. Disclaimer of Warranties

The Platform and all Services are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement.

Yogshri does not warrant that the Platform will operate uninterrupted, be error-free, remain continuously available, or be free from viruses, malware, or other harmful components.
While Yogshri strives to provide accurate, current, and high-quality educational content and live instruction, it does not guarantee that all information, guidance, or materials available through the Platform are complete, accurate, reliable, or suitable for every individual or circumstance.
The Services are provided for general wellness, fitness, mindfulness, and educational purposes only and are not intended to diagnose, treat, cure, or prevent any disease or medical condition, nor are they a substitute for professional medical advice, diagnosis, or treatment.
Participation in yoga, breathing exercises, meditation, stretching, or other wellness activities involves inherent risks. You are solely responsible for determining whether participation is appropriate for your health and fitness level and should consult a qualified healthcare professional before beginning or continuing any exercise program if you have any medical concerns.
To the fullest extent permitted by applicable law, Yogshri shall not be liable for injuries, losses, or damages arising from your voluntary participation in the Services, except to the extent caused by Yogshri's gross negligence, willful misconduct, or where liability cannot legally be excluded.
Yogshri does not guarantee any specific health, fitness, therapeutic, or wellness results from using the Platform or participating in the Services.

19. Limitation of Liability & Release of Claims

To the maximum extent permitted by applicable law, Yogshri, its founders, instructors, employees, agents, and partners shall not be liable for any injury, loss, health complication, or damages (whether direct, indirect, incidental, special, or consequential) arising out of or related to your participation in our services.

By participating, you agree to release, waive, and hold harmless Yogshri, its founders, and team from any and all claims, demands, or liabilities arising from your use of the services.

20. Indemnification

You agree to indemnify, defend, and hold harmless Yogshri Wellness, and their respective officers, directors, founders, instructors, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of or related to:

Your use or misuse of the Platform or Services.
Your violation of these Terms & Conditions.
Your infringement of any third-party rights, including intellectual property or privacy rights.
Any content or information you submit or transmit through the Platform.

21. Force Majeure & Exemptions to Liability

Yogshri shall not be responsible for any delay or failure to provide the Services, or to meet its obligations under these Terms, where caused directly or indirectly by:

Events beyond our reasonable control, including natural disasters, epidemics, acts of government, internet or utility outages, or failures of third-party services and infrastructure.
Your failure to cooperate, your unavailability, or your failure to provide accurate and complete information.
Technical issues originating from your own devices, software, or internet connection.

22. Miscellaneous

Entire Agreement: These Terms, together with the policies referenced in them, constitute the entire agreement between you and Yogshri regarding the Platform and supersede all prior communications and agreements on the subject.
Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.
No Waiver: The failure of either party to exercise any right provided in these Terms shall not be deemed a waiver of any further rights.
Assignment: These Terms are personal to you and are not assignable or transferable by you without our prior written consent. Yogshri may assign or transfer its rights and obligations without restriction.
No Agency: No agency, partnership, joint venture, or employment relationship is created between you and Yogshri as a result of these Terms.

23. Modifications to Terms

Yogshri reserves the right to update or modify these Terms at any time without prior notice. Any changes will become effective immediately upon being posted on this page. Your continued use of the Platform after changes are published constitutes your acceptance of the revised Terms.
